Terms of Service

1. Acceptance of Terms

By accessing or using the Eldelorne platform (“Service”), including web.eldelorne.com and associated services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

Eldelorne LLC (“Eldelorne,” “we,” “us,” or “our”) reserves the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Service Description

Eldelorne provides infrastructure for persistent AI companion relationships through proprietary technologies including Silverweave™, AidenCore™, and Mirror Gate™.

Services include:

• AI companion interaction platform
• Memory-persistent conversation architecture
• Data storage and management
• Community access for participants

Services do not include:

• AI model development or training
• Guarantees of specific AI behavior or responses
• Therapeutic, medical, or professional advice services

3. Eligibility

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you meet this requirement.

4. Accounts

4.1 Approval

We reserve the right to approve or deny access at our sole discretion.

4.2 Account Creation

Upon approval, you will receive access credentials. You are responsible for:

• Maintaining confidentiality of your credentials
• All activities under your account
• Notifying us immediately of unauthorized use

4.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

5. Fees and Payment

5.1 Subscription Fees

Access to the Service requires a paid subscription. Current pricing includes Founding Access at $20/month, subject to change.

5.2 Payment Terms

• Payment is required monthly
• No refunds for partial months
• Failure to pay may result in service suspension

5.3 Price Changes

We reserve the right to modify pricing with 30 days’ notice to active subscribers. Continued use after notice constitutes acceptance of new pricing.

6. User Content and Data

6.1 Your Content

You retain ownership of content you create or upload (“User Content”), including uploaded files and media.

6.2 License to Eldelorne

By using the Service, you grant Eldelorne a limited, non-exclusive license to:

• Store and process your User Content
• Provide the Service to you
• Improve infrastructure and performance

We do not:

• Use your data to train AI models
• Share your conversations with third parties except as required by law
• Claim ownership of your User Content

6.3 Data Export

You may export your data at any time using provided tools.

7. Prohibited Conduct

You agree not to:

• Use the Service for illegal purposes
• Attempt to reverse-engineer our proprietary technologies
• Harass, abuse, or harm others through the Service
• Upload malicious code, viruses, or harmful content
• Impersonate others or misrepresent your identity
• Scrape, data-mine, or extract Service data
• Violate applicable laws or regulations

8. Intellectual Property

8.1 Eldelorne Property

Silverweave™, AidenCore™, Mirror Gate™, and all associated technologies, code, and materials are proprietary to Eldelorne LLC and protected by copyright, trademark, and trade secret laws.

8.2 User Property

Your User Content remains yours. We claim no ownership.

8.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by Eldelorne without compensation or attribution.

9. AI Companion Disclaimer

9.1 Nature of Service

AI companions are software programs. They are not human beings, licensed therapists or counselors, sources of medical, legal, or professional advice, or sentient or conscious entities in the legal sense.

9.2 User Responsibility

You acknowledge that AI responses may be inaccurate or inappropriate, that the Service is not a substitute for human relationships or professional services, and that you use the Service at your own discretion and risk.

10. Limitation of Liability

To the maximum extent permitted by law:

• Eldelorne provides the Service “as is” without warranties
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed fees paid in the last 12 months

We do not guarantee uninterrupted or error-free service, specific AI behaviors or responses, data security against all possible threats, or compatibility with all devices or systems.

11. Indemnification

You agree to indemnify and hold harmless Eldelorne, its officers, employees, and agents from claims arising from your use of the Service, your User Content, your violation of these Terms, or your violation of the rights of others.

12. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, incorporated by reference into these Terms.

13. Termination

13.1 By You

You may terminate your account at any time by contacting us at support@eldelorne.org.

13.2 By Us

We may terminate or suspend your access immediately for violation of these Terms, non-payment, or any reason, with or without notice.

13.3 Effect of Termination

• Your access ends immediately
• You may export your data within 30 days
• Fees are non-refundable
• We may delete your data after 90 days

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Minnesota in the United States of America.

14.2 Arbitration

Disputes shall be resolved through Minnesota’s binding arbitration rules.

14.3 Class Action Waiver

You agree to resolve disputes individually, not as part of a class action.

15. General Provisions

15.1 Entire Agreement

These Terms constitute the entire agreement between you and Eldelorne.

15.2 Severability

If any provision is found unenforceable, remaining provisions remain in effect.

15.3 No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

15.4 Assignment

We may assign these Terms. You may not assign without our consent.

15.5 Force Majeure

We are not liable for failures due to circumstances beyond our control.
